Good standing important sounds. It conveys the sense of the activities of ethics and law. It is a place you want (or want) to operate.
When it comes corporations, limited liability companies and LPs reputation is a legal requirement. And the consequences of not being in good condition, while unfortunately unappreciated by the majority, can be devastating.
Almost every state requires each corporation, LLC and LP formed or qualified to do business there to present a annual report
The purpose of these periodic filings is twofold. First, it allows the State to collect its annual fee of the institution for the next year. And we mistake, these are added the fees for filing and are an important and stable source of state revenue. Secondly, The reports confirm that the entity remains active in the state.
An institution which fails to submit its annual report (and also not paying their fees to the State) can lose its good standing status
What does this mean? An example helps explain the consequences.
Matt and Scott, who owns a car repair shop. Both were busy and, although had formed a corporation with limited liability purposes was unable to attend the follow-up procedures. While the company was formed in 2008, not submitted any report or paid late fees for 2009 and the. As such, they were in good condition.

Matt had signed a very favorable contract with a supplier, on behalf of the corporation in the winter of 2009. When Scott learned of this immediately the company attempted to carry current to avoid personal responsibility. But it was too late. He had done the job when the company was not in good condition. The die was pitch. This meant that Scott could be sued personally for damages. By acting in a society not in a good foot Scott was not protected by the entity and therefore both personally responsible.
Scott and Matt learned the hard way the importance of maintaining your corporation, LLC or LP in progress and in good condition.
Is easy to see if someone institution is well placed or not. The competitors, lawyers and even the curious can check the online database of state of this information.
Do not be the next victim of an innocent or unintentional failure to follow this important corporate formality. Make sure they are in good condition at all times so that the limited liability entity is configured continues to protect in all its activities.
